AGREEMENT TO TERMS These Terms of Service ("Terms") constitute a legally binding agreement between you and Hoftware LLC ("we," "us," or "our") concerning your access to and use of the List My Closet mobile application, the List My Closet web application at listmycloset.com, and the List My Closet browser extension (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY. ## 2. DESCRIPTION OF SERVICES List My Closet helps you create and manage marketplace listings for clothing and other items. The Services include: * AI-powered generation of listing titles, descriptions, and item details from photos you provide * AI-generated styled and enhanced product images * Tools to organize and track your listings and their status across marketplaces * Crosslisting tools that help you publish and manage listings on third-party marketplaces such as Vinted, Poshmark, eBay, Depop, Mercari, and Facebook Marketplace ## 3. CREDITS, SUBSCRIPTIONS, AND BILLING ### 3.1 Credits Certain features of the Services consume credits. New users may receive complimentary credits to try the Services. * **Charging**: A credit is only consumed after a listing is successfully generated. If our AI fails to generate a listing from your photos, you will not be charged a credit. * **Expiration**: Credits do not expire. * **No cash value**: Credits have no monetary value, are non-transferable, and may not be exchanged for cash. ### 3.2 Subscriptions We may offer auto-renewing subscription plans that provide access to the Services or ongoing credit allowances. * **Payment**: Processed through the Apple App Store or Google Play Store * **Auto-renewal**: Subscriptions automatically renew at the end of each billing period unless cancelled at least 24 hours before the period ends * **Cancellation**: You may cancel at any time in your App Store or Play Store account settings. Cancellation takes effect at the end of the current billing period. ### 3.3 Refunds Purchases made through the Apple App Store or Google Play Store are subject to the refund policies of those platforms. For other refund requests, including unused credits, contact us at and we will review requests on a case-by-case basis. Except where required by law or by the applicable app store's policies, refunds are at our discretion. ### 3.4 Changes to Pricing We reserve the right to change our pricing at any time. Price changes will not affect your current billing period and will apply only after proper notice. ## 4. USER ACCOUNTS AND ELIGIBILITY ### 4.1 Age Requirement You must be at least 13 years old to use the Services. Users between 13 and 18 years old must have parental consent. Third-party marketplaces you list on may impose their own, stricter age requirements, which are your responsibility to meet. ### 4.2 Account Registration You may register using a third-party sign-in provider such as Google or Apple. You agree to: * Provide accurate and complete information * Maintain the security of your account credentials * Accept responsibility for all activity that occurs under your account ## 5. ACCEPTABLE USE ### 5.1 Permitted Uses You may use the Services only for lawful purposes and in accordance with these Terms. ### 5.2 Prohibited Uses You may NOT use the Services to: * Violate any applicable laws or regulations * Create listings for counterfeit, stolen, prohibited, or misrepresented items * Upload photos or content you do not have the right to use, or that infringe the rights of others * Transmit harmful, offensive, or unlawful content * Attempt to gain unauthorized access to our systems or another user's account * Reverse engineer, decompile, or disassemble any part of the Services * Use automated systems to access the Services except through features we provide * Interfere with or disrupt the Services ## 6. USER CONTENT, AI-GENERATED CONTENT, AND MARKETPLACES ### 6.1 Your Content You retain ownership of the photos and other content you upload. By uploading content, you grant us a limited license to process, store, and transmit it as necessary to provide the Services, as described in our Privacy Policy. ### 6.2 AI-Generated Content The Services use artificial intelligence, provided through third-party AI service providers (including OpenAI), to generate listing titles, descriptions, item details, and styled images. You acknowledge that: * AI-generated content may contain errors, including inaccurate brand, size, condition, or other item details * You are responsible for reviewing and verifying all generated content before publishing it to any marketplace * Subject to these Terms, you may use the listing content and images generated from your photos for your own listings on any marketplace ### 6.3 Third-Party Marketplaces The Services help you prepare and publish listings on third-party marketplaces. You acknowledge that: * We are not affiliated with, endorsed by, or sponsored by Vinted, Poshmark, eBay, Depop, Mercari, Facebook, or any other marketplace * Your use of any marketplace is governed by that marketplace's own terms of service, and you are solely responsible for complying with them * Our crosslisting tools act on your behalf and at your direction; you are responsible for the accuracy and legality of every listing you publish * We do not guarantee that any marketplace will accept, display, or maintain your listings, and marketplaces may change in ways that limit or break our integrations ## 7. INTELLECTUAL PROPERTY ### 7.1 Our Rights The Services, including all software, design, text, and graphics (excluding your content), are owned by us and protected by intellectual property laws. ### 7.2 Limited License We grant you a limited, non-exclusive, non-transferable license to use the Services for your personal and business listing purposes in accordance with these Terms. ## 8. PRIVACY AND DATA PROTECTION Your privacy is important to us. Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the collection and use of your data as outlined there. ## 9. DISCLAIMERS ### 9.1 "AS IS" BASIS THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ### 9.2 No Guarantee of Sales We do not guarantee that listings created with the Services will result in sales, views, or any particular outcome on any marketplace. ### 9.3 Third-Party Services We are not responsible for the availability, accuracy, or conduct of third-party services, including marketplaces, AI service providers, Apple, or Google. ## 10. LIMITATION OF LIABILITY TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST SALES, OR LOSS OF DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. ## 11. INDEMNIFICATION You agree to defend, indemnify, and hold us harmless from any claims, damages, and expenses (including reasonable attorneys' fees) arising from: * Your use of the Services * Your violation of these Terms * Your violation of any third party's rights, including a marketplace's terms of service * Any listing you create or publish using the Services ## 12. TERMINATION ### 12.1 Termination by You You may stop using the Services at any time and may delete your account in the app's Settings. ### 12.2 Termination by Us We may suspend or terminate your access immediately, without prior notice, if: * You breach these Terms * You engage in fraudulent or illegal activity * We discontinue the Services ### 12.3 Effect of Termination Upon termination, your right to use the Services will cease immediately. We may delete your account and data in accordance with our Privacy Policy. Unused credits are forfeited upon termination for breach. ## 13. DISPUTE RESOLUTION ### 13.1 Governing Law These Terms are governed by the laws of the State of North Carolina, without regard to its conflict of law provisions. ### 13.2 Arbitration Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in North Carolina. ### 13.3 Exceptions to Arbitration Either party may seek equitable relief in court for disputes relating to intellectual property rights or enforcement of these Terms. You may also bring an individual claim in small claims court. ### 13.4 Class Action Waiver Any arbitration shall be conducted in your individual capacity only and not as a class action or other representative action. ## 14. CHANGES TO TERMS We may modify these Terms at any time. We will notify you of material changes through the Services or by email. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms. ## 15. SEVERABILITY If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. ## 16. ENTIRE AGREEMENT These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Services and supersede all prior agreements. ## 17. APP STORE TERMS ### 18.1 Apple App Store If you downloaded the App from the Apple App Store: * These Terms are between you and us, not Apple * Apple is not responsible for the App or its content * Apple has no obligation to provide support for the App * Apple is a third-party beneficiary of these Terms and may enforce them ### 18.2 Google Play Store If you downloaded the App from the Google Play Store: * These Terms are between you and us, not Google * Google is not responsible for the App or its content * Google has no obligation to provide support for the App *** **By using List My Closet, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.**
